According to CNBC reports, NVIDIA has agreed to acquire most of the assets of AI chip startup Rok for approximately $20 billion. This is the largest M&A deal in NVIDIA’s history and is seen as a strategic move to secure technological superiority in the AI inference market.

Rok’s Technological Position in the AI Chip Market

Rok was founded by core developers of Google’s TPU and specializes in developing low-latency AI inference chips. This technology is highly regarded for its ability to dramatically improve response speeds during large-scale language model inference processing. The reason NVIDIA is paying attention to Rok is because it possesses a different architecture from NVIDIA’s current GPU-based inference solutions. Through this acquisition, NVIDIA will be able to integrate various inference processing methods into its AI platform.

Significance of the Independent Operating Structure and Technical Alliances

Notably, NVIDIA will not fully spin off Rok as a subsidiary. Rok’s founder and CEO, Jonathan Ross, along with the management team, will join NVIDIA, but CFO Simon Edwards will assume the role of new CEO, allowing Rok to operate independently. Additionally, the two companies will proceed through a “non-exclusive technology license agreement,” excluding the GroqCloud division from the acquisition. This structure is interpreted as a compromise approach that maintains Rok’s innovative capabilities while integrating it into NVIDIA’s technology platform.

This deal goes beyond simple technology acquisition and exemplifies NVIDIA’s strategy to diversify its AI chip ecosystem.
